EDIAG SERVICE AGREEMENT

Introduction

Welcome to use EDIAG products and services.

To use EDIAG products and services, you must read and comply with this EDIAG Service Agreement ("Agreement") and the EDIAG Privacy Policy. Please read and fully understand all terms carefully, especially those regarding limitation or exclusion of EDIAG's liability, restrictions on user rights, dispute resolution, jurisdiction, and any separate agreements or rules governing specific services. Terms that significantly affect your rights and interests may be highlighted in bold, underlined, or otherwise emphasized.

Unless you have fully read, understood, and accepted all terms of this Agreement, you are not authorized to use EDIAG services. By clicking "Agree," "Next," using EDIAG services, or otherwise expressly or implicitly accepting this Agreement, you acknowledge that you have read and agreed to enter into this Agreement. This Agreement shall become a legally binding document between you and EDIAG.

1. Scope of the Agreement

This Agreement is entered into between the user and EDIAG regarding the use of EDIAG services. "EDIAG" refers to EDIAG Vehicle and/or its affiliated service providers and operating entities. "User" refers to any individual or entity using EDIAG services and is referred to as "you" in this Agreement.

EDIAG services include, but are not limited to, OBD diagnostics, full-system vehicle diagnostics, real-time remote diagnostics, vehicle black box services, mobile applications, and other products and services provided by EDIAG (collectively referred to as the "Services"). The specific services available shall be determined by EDIAG's actual offerings.

This Agreement also incorporates the EDIAG Privacy Policy, which forms an integral part of this Agreement. By accepting this Agreement, you also accept the EDIAG Privacy Policy.

2. Account and Password Security

You may be required to register an account to use certain Services. Please read and comply with any separate agreements governing your account.

EDIAG specifically reminds you to properly safeguard your account credentials and password. You are responsible for securely logging out after each use. Any loss or damage arising from improper management of your account or password shall be your sole responsibility.

To enhance user experience and technical convenience, account information may include numbers, letters, combinations thereof, mobile phone numbers, email addresses, or other identifiers. When you register using one form of account, EDIAG may provide you with alternative account forms. The specific account structure and relationships between account systems shall be determined by EDIAG.

During your use of the Services, you may set account information such as nickname, avatar, signature, and profile details. You shall ensure that such information complies with applicable laws and regulations, public order, good customs, social morality, and EDIAG platform rules, and does not infringe upon the lawful rights and interests of any third party.

3. Protection of Personal Information

The protection of personal information is a fundamental principle of EDIAG. EDIAG will collect, use, store, and share your personal information in accordance with this Agreement and the EDIAG Privacy Policy. Where this Agreement does not specifically address personal information protection, the EDIAG Privacy Policy shall prevail.

When registering an account or using the Services, you may be required to provide certain necessary information. Where applicable laws require identity verification, you must provide authentic identity information. Failure to provide complete information may prevent you from using certain Services or result in service limitations.

Generally, you may review and modify information you submit according to product rules. However, for security and identity verification purposes, certain registration and verification information may not be modified.

EDIAG will implement reasonable security measures and management systems to protect your personal information from unauthorized access, use, or disclosure.

EDIAG will not transfer or disclose your personal information to any third party except under the following circumstances:

  • As required by applicable laws, regulations, judicial authorities, or administrative agencies.
  • In connection with mergers, divisions, acquisitions, or asset transfers.
  • Where necessary to provide the Services requested by you.
  • Under circumstances permitted by the EDIAG Privacy Policy or other applicable agreements and rules.

4. Use of the Services

Unless otherwise agreed by EDIAG, the Services are provided solely for your personal and non-commercial use.

Your rights under this Agreement are non-transferable.

You shall not use any means, including third-party software, plug-ins, systems, devices, or other methods, to interfere with, disrupt, modify, or otherwise affect the Services.

You shall use the Services only through methods provided or authorized by EDIAG. You may not access or use the Services through unauthorized third-party software, plug-ins, systems, or devices.

Without EDIAG's authorization, no person may use any third-party software, plug-ins, or systems to view or obtain any information, data, or content belonging to EDIAG, its partners, or users.

5. Services Provided on an "As Available" Basis

You understand and agree that:

The Services are provided based on current technology and conditions. EDIAG will make reasonable efforts to ensure continuity and security but cannot anticipate or prevent all legal, technical, and other risks. Such risks include force majeure events, viruses, malware, hacking attacks, system instability, defects in third-party services, governmental actions, and other causes that may result in service interruptions, data loss, and other losses or risks. EDIAG shall not be liable for such events to the extent permitted by law.

Due to business strategies, operational arrangements, or regional differences, the specific content of EDIAG services may vary by location. The actual services provided shall prevail.

6. User Equipment

You are responsible for obtaining and maintaining all equipment necessary to access and use the Services, including mobile devices and internet access.

You understand and agree that use of the Services may consume device resources, bandwidth, and other system resources.

7. Advertisements

You agree that EDIAG may send or display advertisements and other information (commercial or non-commercial) through SMS, email, electronic messages, or other means, either directly or through third parties.

EDIAG will conduct advertising activities in accordance with applicable laws and regulations. You are responsible for independently evaluating the authenticity and reliability of advertisements displayed through the Services and for any actions taken based on such advertisements, except where otherwise required by law.

8. Service Fees

Certain EDIAG Services may be provided on a paid basis. If you use paid Services, you must comply with the applicable payment terms.

EDIAG may modify service fees and payment methods or begin charging for previously free services. Such changes will be announced or published in advance on the relevant service pages. If you do not agree to such changes, you must discontinue use of the Services.

If EDIAG reduces fees or converts a paid service into a free service, EDIAG is under no obligation to provide refunds or fee adjustments to existing paying users.

All in-app purchases are non-refundable once downloaded. EDIAG shall not be liable for any damages, liabilities, or claims arising from the use of the software.

9. Third-Party Products and Services

When using products or services provided by third parties through the EDIAG platform, you must also comply with the relevant agreements of those third parties.

EDIAG and such third parties shall each bear responsibility for disputes within the scope required by law and applicable agreements.

10. Software-Based Services

Where Services are provided through software, the following terms apply:

  • EDIAG grants you a personal, non-transferable, non-exclusive license to download and use the software solely for accessing the Services.
  • EDIAG may update the software to improve user experience, maintain security, or ensure product consistency.
  • Different software versions may be developed for different devices. You should download and install the version appropriate for your device.
  • Software should be obtained only from EDIAG or authorized third parties.

Without EDIAG's prior written consent, you may not:

  1. Remove copyright notices from the software.
  2. Reverse engineer, reverse assemble, reverse compile, or otherwise attempt to derive the source code.
  3. Use, rent, lend, reproduce, modify, link to, republish, compile, publish, distribute, or create mirror websites containing EDIAG intellectual property.
  4. Modify software instructions or data to alter functionality or operational effects, or distribute such modifications.

11. Errors, Inaccuracies, and Omissions

Information available through our website or Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping costs, delivery times, or availability.

We reserve the right to correct errors, inaccuracies, or omissions and to change or update information or cancel orders at any time without prior notice, including after an order has been submitted.

Except as required by law, we undertake no obligation to update, amend, or clarify information in the Services or on related websites.

12. Intellectual Property Rights

Unless otherwise agreed, all intellectual property rights in content provided by EDIAG belong to EDIAG, while intellectual property rights in user-generated content belong to the user or relevant rights holder.

EDIAG owns the copyrights, patents, trademarks, and other intellectual property rights related to the software and Services it provides.

The trademarks "EDIAG" and other commercial identifiers used in the Services are owned by EDIAG.

All intellectual property is protected by applicable laws. No person may use, reproduce, distribute, or create derivative works without prior written authorization from EDIAG or the relevant rights holder.

13. User Comments, Feedback, and Other Submissions

If you submit comments, suggestions, ideas, proposals, plans, or other materials ("Comments"), whether at our request or voluntarily, you agree that EDIAG may edit, copy, publish, distribute, translate, and otherwise use such Comments in any medium without restriction.

EDIAG is under no obligation to:

  • Maintain confidentiality of Comments.
  • Pay compensation for Comments.
  • Respond to Comments.

You warrant that your Comments do not infringe any third-party rights, including intellectual property, privacy, or personality rights, and do not contain unlawful, defamatory, obscene, malicious, or harmful content.

You are solely responsible for your Comments and their accuracy.

14. User Misconduct

You shall not create, publish, transmit, or assist others in publishing information that:

  • Violates constitutional principles or applicable laws;
  • Endangers national security;
  • Damages national interests;
  • Promotes discrimination or hatred;
  • Disrupts religious policies;
  • Spreads rumors or disrupts public order;
  • Contains pornography, gambling, violence, terrorism, or criminal incitement;
  • Defames or infringes upon the lawful rights of others;
  • Violates applicable laws, regulations, or EDIAG policies.

If you violate this Agreement, EDIAG may take measures including deletion of content, suspension or termination of Services, account restrictions, and legal action.

You shall be liable for all damages resulting from your violations, including losses incurred by EDIAG.

15. Compliance with Local Laws

You must comply with all local laws, regulations, customs, and traditions when using the Services.

You shall not use the Services in any manner that causes EDIAG to violate applicable laws or become involved in political or public affairs.

16. Accuracy, Completeness, and Timeliness of Information

Information provided through the Services is for general reference only and should not be relied upon as the sole basis for decision-making.

Historical information may be included and is provided for reference only. EDIAG reserves the right to modify information at any time without obligation to update previously published content.

17. Changes to Services and Pricing

Prices for products and services may change without notice.

EDIAG reserves the right to modify, suspend, or discontinue any Service or portion thereof at any time without notice.

EDIAG shall not be liable to you or any third party for any modification, suspension, discontinuation, or pricing change.

18. User Content and Complaint Handling

You are solely responsible for all content transmitted through the Services.

You warrant that transmitted content is obtained from lawful sources and that you possess all necessary rights and authorizations.

If content violates laws or infringes third-party rights, EDIAG may remove, block, or disconnect such content.

For dispute resolution purposes, EDIAG may provide relevant information to concerned parties or authorities, including contact details and complaint-related content.

You warrant that all information and evidence provided during complaint procedures are truthful, lawful, and valid.

19. Force Majeure and Limitation of Liability

You understand that the Services may be affected by force majeure events, including but not limited to floods, earthquakes, epidemics, storms, wars, civil unrest, and governmental actions.

To the fullest extent permitted by law, EDIAG shall not be liable for losses resulting from:

  • Viruses, malware, hacking attacks, or other malicious programs;
  • Failures of software, systems, hardware, or communication lines;
  • Improper operation by users;
  • Outdated software versions, aging equipment, or compatibility issues;
  • Circumstances beyond EDIAG's reasonable control.

EDIAG does not guarantee the authenticity, legality, or suitability of information obtained through the internet or other users and shall not be liable for losses resulting therefrom.

20. Amendments to the Agreement

EDIAG may revise this Agreement from time to time. The latest version will be made available through relevant service pages.

Continued use of the Services following any revision constitutes acceptance of the revised Agreement.

21. Changes, Suspension, and Termination of Services

EDIAG may modify, suspend, or terminate Services based on business strategy or operational requirements.

In the event of a merger, acquisition, restructuring, or asset transfer, EDIAG may transfer its rights and obligations under this Agreement to a third party.

EDIAG may suspend or terminate Services without prior notice if:

  • You provide false registration information;
  • You violate applicable laws or this Agreement;
  • Required by law, judicial authorities, or government agencies;
  • Necessary for security or other operational reasons.

EDIAG may also suspend or terminate paid Services if payment is not made in full and on time.

You are responsible for backing up your data. Upon termination of Services, EDIAG may permanently delete stored data and is under no obligation to provide access to or return such data.

22. Governing Law and Jurisdiction

The formation, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the applicable jurisdiction.

Any dispute arising between you and EDIAG shall first be resolved through friendly consultation. If consultation fails, the dispute shall be submitted to the court having jurisdiction at the place where this Agreement is executed.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
